The deal was announced last June and was expected to close this week, but the Justice Department and state regulators moved last month to block the deal, arguing it could give UnitedHealth more in the market for home health and hospice services control. The case is currently before a federal judge in the District of Maryland.
Amedisys said in a regulatory filing on Friday that the companies waived their right to terminate the agreement until the 10th business day after the court’s final order, which is Dec. 31, 2025, whichever comes first.
The new exemptions include a $275 million regulatory breakup fee, which could be as high as $325 million if the companies fail to divest certain assets by May 1.
Amedisys shares rose more than 4% in early trading on Friday following the news, while UnitedHealth shares were little changed.
